These draft terms are a placeholder for the terms that will govern access to Wakehold and purchases of Wakehold Tokens. They are not legal advice and are subject to legal review before launch.
Agreement and service
Wakehold is operated by MTECH CORPORATION (“MTECH”). By using Wakehold, a customer would agree to use the service lawfully and in accordance with the applicable order, token purchase, subscription, or other written agreement.
Wakehold Tokens
Wakehold Tokens are prepaid usage credits that may be consumed by control-plane events such as wakes processed, proof receipts sealed, work packets transferred, and policy capsules injected. Published pack prices apply. Token balances, burn rates, and any unused-token policy will be stated in the final commercial terms. Checkout will run through Paddle when that flow is live.
Accounts and responsibilities
Customers would be responsible for accurate account information, protecting access credentials, configuring their workspaces, managing token usage, and ensuring that their use of Wakehold complies with applicable law and their own agreements.
Acceptable use
Wakehold may not be used to break the law, infringe rights, interfere with the service, bypass security or metering controls, or process information without the permissions required to do so.
Purchases and billing (Paddle)
Online purchases of Wakehold Tokens may be processed by Paddle, which may act as Merchant of Record. Paddle’s buyer terms, billing practices, refund policies, and applicable purchase terms may also apply to those transactions. Taxes and invoicing for self-serve checkout may be handled according to Paddle’s Merchant of Record model.
Service data and privacy
Customer content and operational data would be handled as described in the applicable agreement and privacy notice. Customers should not submit secrets or sensitive information unless the service and agreement expressly support it.
Disclaimers and limits
Wakehold is intended to support operations; it does not replace customer judgment, oversight, or required controls. Final terms will address warranties, availability, liability, suspension, termination, governing law, and dispute resolution. Draft statements about unused-token windows (for example, a 12-month non-expiry draft) are policy drafts only until locked in these Terms.
